Triumph New Energy Company Limited held its 2025 Annual General Meeting (AGM) on 18 June 2026 in Luoyang, Henan. Shareholder turnout reached 253.27 million shares—representing 39.22% of the company’s 645.67 million issued shares—with A-share investors accounting for 251.71 million shares and H-share investors 1.56 million shares.

Five ordinary resolutions were tabled and each received at least 99.75% votes in favour:

1. 2025 Board Work Report: 99.81% approval. 2. 2025 Profit Distribution Plan: 99.77% approval. 3. 2025 Directors’ Remuneration: 99.75% approval. 4. Re-appointment of Grant Thornton LLP as 2026 auditor with an aggregate fee of RMB1.80 million and authority for the Board to adjust remuneration based on workload: 99.83% approval. 5. Appointment of Ms. Liang Xiao as a non-executive director for the 11th Board session: 99.82% approval.

No shares were subject to mandatory abstention or expressed intentions to vote against any resolution prior to the meeting. Grant Thornton LLP acted as scrutineer, while Beijing Dentons Law Offices, LLP provided legal oversight, confirming the legality and validity of the meeting procedures, participant qualifications, and poll results.

The AGM was chaired by Chairman Xie Jun. Directors present included Executive Directors Xie Jun, Chen Peng and He Qingbo; Non-executive Directors Wu Dan and Yang Jianqiang; and Independent Non-executive Directors Fan Baoqun, Chen Qisuo and Yuan Jian.
