Public Financial Holdings Limited has made available a comprehensive scheme document dated 30 October 2026 detailing a conditional proposal for its privatisation by its controlling shareholder, Public Bank Berhad, through a scheme of arrangement under Section 99 of the Bermuda Companies Act 1981. Concurrently, the proposal seeks shareholder approval to withdraw Public Financial Holdings’ shares from listing on the Hong Kong Stock Exchange (HKEX).
The newly released materials—comprising the scheme document, a pink proxy form for the Court Meeting and a white proxy form for the Special General Meeting—can now be accessed in both English and Chinese on the company’s website (www.publicfinancial.com.hk) and on HKEX’s website (www.hkexnews.hk).
Key timetable highlights: • Court Meeting date: 23 November 2026 • Special General Meeting date: 23 November 2026
Registered shareholders who have previously opted for printed communications will receive hard-copy versions of the current documents. Others can download the materials online or request print copies by completing and returning the enclosed Change Request Form to Tricor Investor Services Limited, the Hong Kong branch share registrar, with at least seven days’ notice.
Shareholders are encouraged to provide a functional email address to facilitate electronic delivery of future corporate communications and actionable corporate communications. Where no functional email is on file, the company will default to mailing printed notification letters and any actionable documents until an email address is supplied.
Requests for printed copies will remain valid until 31 December 2027 unless revoked or superseded. Shareholders may alter their preferred communication method or language at any time by notifying the share registrar.
