TCL Electronics Reshuffles Company Secretary Team, Secures Three-Year HKEX Waiver for Newly Appointed Joint Secretary

TCL Electronics Holdings Limited announced that, effective 4 September 2026, Mr. Chen Ming has stepped down as Joint Company Secretary and Board Secretary to concentrate on the Group’s North American business. Mr. Chen remains a director of certain subsidiaries and confirmed no outstanding claims against the company.

Concurrently, Vice President Mr. Song Honghai has been named Joint Company Secretary for a three-year term. Mr. Song, born in March 1979, joined the Group in October 2025 and currently heads the Capital Market Department at parent company TCL Industries Holdings. His 20-year career spans senior roles at Citigroup, Standard Chartered, CMB International and other international financial institutions. He holds dual bachelor’s degrees in Law and Economics from Peking University, a Master’s in Economics, and is a CFA charterholder.

Given that Mr. Song does not yet meet the professional qualifications stipulated under HKEX Listing Rules 3.28 and 8.17, TCL Electronics obtained a three-year waiver from the Stock Exchange. Conditions include:

1. Mr. Song must be assisted by existing Joint Company Secretary Ms. Choy Fung Yee—an experienced Hong Kong solicitor—throughout the waiver period. 2. The waiver may be revoked upon material Listing Rule breaches. 3. The company must disclose waiver details and both secretaries’ credentials. 4. By the end of the waiver period, TCL Electronics must demonstrate that Mr. Song has acquired the requisite experience to fully discharge company secretary duties.

The Board expressed gratitude to Mr. Chen for his service and welcomed Mr. Song to his new role. No disagreements with the Board or outstanding claims were reported in connection with Mr. Chen’s resignation.
