FAR INTL Announces 2026 AGM, Seeks Share Issuance and Buy-back Mandates

FAR International Holdings Group Company Limited (FAR INTL) has scheduled its 2026 annual general meeting (AGM) for 2:00 p.m. on Thursday, 7 May 2026, at Room 201, Hangzhou Cross-border E-commerce Industrial Park, Zhejiang Province, PRC.

Key items on the agenda include:

1. Financial Reporting • Shareholders will receive and consider the audited consolidated results for the year ended 31 December 2025, together with directors’ and auditor’s reports.

2. Board Composition • Five directors—Mr. Wang Quan, Mr. Yao Shenjie, Mr. Zhang Guangyang, Mr. Shi Dite and Ms. Yi Yun—are standing for re-election. • The Board seeks authority to determine directors’ remuneration.

3. Auditor Re-appointment • SHINEWING (HK) CPA Limited is nominated for re-appointment; the Board will be authorised to set audit fees.

4. Capital Management Mandates • Share Issuance: A general mandate authorising the Board to allot and issue new shares or convertible securities up to 20 % of the company’s issued share capital (excluding treasury shares) as at the date of approval. • Share Buy-back: A mandate permitting on-market repurchases of up to 10 % of issued shares (excluding treasury shares). • Mandate Extension: Conditional on both mandates passing, the share issuance limit may be increased by the volume of shares repurchased, capped at an additional 10 %.

5. Corporate Governance • Shareholders will vote on adopting a second amended and restated memorandum and articles of association, replacing existing constitutional documents.

Administrative Details • Shareholders’ register closure: Monday, 4 May 2026 to Thursday, 7 May 2026 (both days inclusive). Transfers must be lodged by 4:30 p.m. on Thursday, 30 April 2026 to qualify for voting. • Proxy forms must be deposited with Computershare Hong Kong Investor Services Limited no later than 2:00 p.m. on Tuesday, 5 May 2026. • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules.

The notice, dated 15 April 2026 and signed by Chairman Mr. Wang Quan, emphasises there are currently no immediate plans to issue new shares under the proposed general mandate; any repurchases will be executed at the Board’s discretion for shareholder benefit.
