Dajin Finalises Capital Increase to RMB740.09 Million and Updates Articles Following Hong Kong H-Share Listing

Dajin Heavy Industry Co., Ltd. (Dajin) has completed the industrial and commercial registration process to reflect its enlarged share capital and has formally filed the amended Articles of Association with the market regulator, securing a renewed business licence.

The company’s registered capital has risen to RMB740.09 million from RMB637.75 million after issuing 102.34 million H shares—comprising 100.01 million shares from the initial global offering and 2.33 million shares from the partial exercise of the over-allotment option. Total outstanding shares now stand at 740.09 million, split between 637.75 million A shares listed in Shenzhen and 102.34 million H shares trading on the Hong Kong Stock Exchange since 5 June 2026 (additional shares listed on 7 July 2026).

To align governance documents with the dual-listing structure, Dajin’s shareholders approved revisions to multiple Articles of Association provisions, including:

• Article 3 – Incorporation of details on the H-share IPO and subsequent allotment. • Article 6 – Update of registered capital to RMB740.09 million. • Article 20 – Updated promoter information, including revisions to corporate names and confirmation of capital contribution methods. • Article 21 – Confirmation of the new total share count and A/H share breakdown. • Article 209 – Stipulation that amended Articles take effect upon shareholder approval.

The amendments were endorsed at the 20th meeting of the fifth board on 24 June 2025 and ratified at the 2025 second extraordinary general meeting on 11 July 2025. The revised Articles became effective upon shareholder approval.

Dajin’s board currently consists of five executive directors—Jin Xin (Chairman), Sun Xiaole, Liu Aihua, Li Xin and Jiang Haitao—and four independent non-executive directors—Cai Meng, Qu Guangjie, Zhang Wei and Lu Qiannan.
