Beisen Holding Limited (Beisen) has filed its monthly return for the period ended 30 April 2026, detailing modest share capital changes driven by on-market repurchases and routine equity-incentive activity.

Authorised capital • Remained unchanged at 5.00 billion ordinary shares with a par value of USD 0.00001, representing an authorised share capital of USD 50,000.

Issued and treasury shares • Shares in issue (excluding treasury) fell by 0.26 million to 730.05 million. • Treasury stock rose by the same amount to 6.14 million, keeping total issued shares steady at 736.19 million. • The company confirms continued compliance with the 25% minimum public-float requirement.

Share repurchases • Four buybacks conducted on 2, 13, 20 and 22 April absorbed 0.26 million shares into treasury at prices ranging from HKD 3.74 to HKD 4.12. • Aggregate consideration was approximately HKD 1.00 million.

Equity-incentive schemes • Pre-IPO Share Option Plan: 65,000 options lapsed, leaving 37.37 million options outstanding; no options were exercised. • RSU Plan: – 480,000 RSUs granted on 13 April. – 132,500 RSUs vested during the month (25,000 settled via on-market shares, 107,500 via new share allotment). – 230,000 RSUs lapsed. – Outstanding RSUs stand at 8.61 million, with a further 0.34 million shares available for future issuance or transfer.

Capital instruments • The company had no warrants, convertibles or other share-settled instruments outstanding during the period.

Regulatory confirmation Beisen affirmed that all share movements were duly authorised and executed in line with Hong Kong listing rules and other applicable regulations.
