BRII-B Executes HKD 0.08 Million Share Buyback and Minimal RSU Issuance, Slightly Trims Outstanding Shares

Brii Biosciences Limited (BRII-B) has released a Next Day Disclosure Return detailing a simultaneous share repurchase and small-scale share issuance executed on 9 October 2026.

The company bought back 101,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging between HKD 0.825 and HKD 0.86 per share, for a total consideration of HKD 84,985. The repurchased stock, equal to 0.014 % of the company’s issued share capital (excluding treasury shares), will be held in treasury; no cancellation was reported.

On the same day, Brii Biosciences issued and allotted 5,875 new shares at nil consideration to employees upon vesting of restricted share units granted under the 2023 Share Award Scheme. This issuance represents 0.0008 % of the company’s outstanding shares.

After incorporating both transactions: • Issued shares outstanding fell by 95,125 to 722.17 million. • Treasury shares increased to 13.15 million. • Total issued shares edged up to 735.32 million due to the RSU-related allotment.

The buyback forms part of the general mandate approved on 16 June 2026, which authorises repurchases of up to 72.19 million shares. To date, 431,000 shares—0.06 % of the share base at mandate date—have been repurchased under this authority. A 30-day moratorium on new share issues or treasury-share sales is in force until 8 November 2026, in line with Hong Kong listing regulations.
