Mobvoi Schedules 26 June 2026 AGM to Approve 2025 Results, Board Re-election, 20% Issuance Mandate and Articles Update

Mobvoi Inc. (MOBVOI) will convene its Annual General Meeting on 26 June 2026 at 10:00 a.m. at Crowne Plaza Beijing Sun Palace, Beijing. The agenda comprises five key items:

1. 2025 financial statements Shareholders will vote on the adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and KPMG’s auditor reports.

2. Board composition and pay Re-election is proposed for five retiring directors: Executive Directors Dr. Li Zhifei and Ms. Li Yuanyuan, and Independent Non-executive Directors Mr. Chen Yilyu, Prof. Lu Yuanzhu and Mr. Yang Zhe. The board seeks authority to set director remuneration.

3. Auditor re-appointment KPMG is nominated to continue as external auditor until the conclusion of the next AGM, with the board authorised to fix its 2026 fee.

4. Share mandates • Issuance: Directors seek a general mandate to allot, issue or deal in additional shares up to 20% of issued share capital (excluding treasury shares) as at the AGM date, plus the number of shares that may be repurchased. • Repurchase: A separate mandate would allow the company to buy back up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges. • Extension: Conditional upon both mandates passing, the issuance limit may be increased by the number of shares repurchased, effectively expanding potential issuance to a theoretical 30% of share capital.

5. Corporate governance update Shareholders will consider adopting a Tenth Amended and Restated Articles of Association, replacing the existing Ninth version to incorporate the proposed amendments outlined in the circular dated 4 June 2026.

Key administrative details • Record date and closure: The share register will be closed 23–26 June 2026 (both days inclusive). Transfers for voting eligibility must be lodged by 4:30 p.m. on 22 June 2026. • Proxy deadline: Completed proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 24 June 2026. • Voting method: All resolutions will be decided by poll in accordance with Listing Rule 13.39(4).

Board composition at notice date The board comprises four executive directors (Chairman & CEO Mr. Cao Xiaohuan, Mr. Duan Wei, Mr. Song Xiaofei, Ms. Jiang Ruofan), one non-executive director (Mr. Wong Tak-Wai) and three independent non-executive directors (Mr. Sun Hongbin, Ms. Cheung Ho Ling Honnus, Mr. Wong Ka Fai Jimmy).
