JNCEC (00579) announced that in response to new regulatory requirements issued by The Stock Exchange of Hong Kong Limited regarding Environmental, Social and Governance (ESG) matters, and to further enhance the Board's ESG management effectiveness and capabilities in sustainable development management, as well as to improve the company's overall ESG management system, the Board has resolved to rename the Strategy Committee to the Board Strategy and ESG Committee. ESG responsibilities will be incorporated into the original Strategy Committee's scope of duties, and the Strategy Committee's terms of reference will be renamed as the Strategy and ESG Committee's terms of reference, which will include ESG-related responsibilities. This adjustment only involves changes to the Strategy Committee's name, responsibilities and terms of reference, while the composition and structure of the Strategy and ESG Committee will remain unchanged. These changes became effective on September 28, 2025.

Effective September 28, 2025, to strengthen corporate governance and comply with new requirements regarding gender diversity for nomination committees under the Stock Exchange's securities listing rules, Ms. Hu Zhiying, an independent non-executive director, will no longer serve as a member of the Board Remuneration and Nomination Committee, while Mr. Wang Hongxin, an independent non-executive director, has been appointed as a member of the Remuneration and Nomination Committee. On the same date, Mr. Wang Hongxin will no longer serve as a member of the Board Legal and Compliance Management Committee, while Ms. Hu Zhiying has been appointed as a member of the Legal and Compliance Management Committee.

Effective September 28, 2025, Ms. Fang Xiujun has retired from her positions as Deputy General Manager and Chief Accountant of the company upon reaching the statutory retirement age. On September 28, 2025, the Board resolved to appoint Ms. Fan Huaying as Deputy General Manager and Chief Accountant of the company. The company will enter into a new service agreement with Ms. Fan Huaying, appointing her as Deputy General Manager and Chief Accountant for a term from October 1, 2025 to December 31, 2026.
