DMALL Executes HK$0.17 Million Share Buyback and Issues 55.68k Incentive Shares

Hong Kong-listed DMALL (Dmall Inc.) disclosed marginal adjustments to its share capital in a Next Day Disclosure Return dated 7 September 2026.

Key Developments • Buyback: On 7 September 2026 the company repurchased 40,000 ordinary shares on the Hong Kong Stock Exchange at HK$4.23 each, spending approximately HK$0.17 million. The repurchased stock, equal to 0.0046% of the company’s outstanding shares, has been retained as treasury shares. • Incentive Issue: On 1 September 2026 DMALL issued 55,675 new shares at nil consideration under its 2020 Share Incentive Plan. The shares, representing 0.0064% of the share base, were granted to scheme participants who are not directors.

Capital Structure Impact • Issued shares (excluding treasury stock) rose slightly from 866.00 million to 866.02 million. • Treasury shares increased from 71.51 million to 71.55 million. • Total shares in issue moved up from 937.51 million to 937.57 million.

Repurchase Programme Status • The 5 June 2026 shareholder mandate authorises DMALL to buy back up to 88.37 million shares. • Cumulative repurchases under this mandate now stand at 17.75 million shares, equivalent to 2.01% of the company’s outstanding shares on the mandate date. • A 30-day moratorium on new share issues or treasury share disposals applies until 7 October 2026 following the latest buyback.

All transactions were executed in accordance with the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and were duly authorised by DMALL’s board of directors.
