Palasino Holdings Limited (PALASINO) has issued a proxy form outlining 11 ordinary resolutions to be tabled at its Annual General Meeting scheduled for 2:30 p.m. on 27 August 2026 at the Grand Ballroom, Dorsett Kai Tak Hong Kong.

Key proposals:

1. Financial Statements & Dividend • Shareholders will vote on adopting the audited financial statements and directors’ and auditor’s reports for the year ended 31 March 2026. • The Board recommends a final dividend of HK2.90 cents per share, to be paid from the share premium account.

2. Board Composition & Remuneration • Re-election of four directors: Executive Director Mr Pavel Maršík; Non-executive Directors Tan Sri Dato’ David Chiu and Mr Cheong Thard Hoong; and Independent Non-executive Director Ms Chuchu Tracy Li. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Re-appointment • Deloitte Touche Tohmatsu is nominated for re-appointment as external auditor, with the Board authorised to set its remuneration.

4. Capital Management Mandates • Issue Mandate: Directors may issue, allot or deal with additional shares— including any sale or transfer of treasury shares—up to 20% of the Company’s issued share capital (excluding treasury shares) as at the date of approval. • Repurchase Mandate: Authority to repurchase and hold in treasury up to 10% of issued shares (excluding treasury shares). • Extension Mandate: Conditional on the above two approvals, the Issue Mandate may be increased by the number of shares repurchased under the Repurchase Mandate.

Shareholders wishing to vote by proxy must submit completed forms to Tricor Investor Services Limited by 2:30 p.m. on 25 August 2026 (Hong Kong time). Attendance in person remains an option, with proxy appointments revoked upon personal attendance.
