Bank of China Posts Static Share Capital Structure in August; Convertible Preference Shares Could Add 27.62 Billion A Shares on Trigger

Bank of China Limited released its Monthly Return for August 2026, confirming that no changes occurred in either authorised or issued share capital across all share classes during the period and that the H-share public float remains compliant with Hong Kong listing rules.

Authorised and Issued Capital • Ordinary H shares: 83.62 billion shares with a par value of RMB 1, representing RMB 83.62 billion in authorised and issued capital. • Ordinary A shares (Shanghai-listed): 238.59 billion shares at RMB 1 par, equivalent to RMB 238.59 billion. • Domestic Preference Shares – Third Tranche: 0.73 billion shares at RMB 100 par, totalling RMB 73.00 billion. • Domestic Preference Shares – Fourth Tranche: 0.27 billion shares at RMB 100 par, amounting to RMB 27.00 billion.

The aggregate authorised share capital stood at RMB 422.21 billion, unchanged from July. No treasury shares are held, bought back or cancelled, leaving issued shares identical to authorised amounts.

Public Float For the 83.62 billion H-share class (stock code 03988), the company reconfirmed compliance with the Hong Kong Exchange’s minimum 5 % public-float threshold for PRC issuers.

Convertible Preference Shares While no conversions occurred in August, two preference-share tranches could significantly expand A-share capital if trigger events arise: 1. Third-tranche preference shares (RMB 73.00 billion) are compulsorily convertible at RMB 3.62 per A share, representing up to 20.17 billion additional A shares. 2. Fourth-tranche preference shares (RMB 27.00 billion) carry the same conversion terms, allowing for up to 7.46 billion further A shares.

These potential issuances, totalling 27.62 billion A shares, remain contingent on future trigger events as defined in the respective terms and conditions.

No share options, warrants, other convertible instruments or equity-settled arrangements were outstanding or exercised during the month.

The return was signed by Liu Chenggang, Secretary to the Board of Directors and Company Secretary, and filed with Hong Kong Exchanges and Clearing on 1 September 2026.
