Langham Hospitality Investments (the Trust) and Langham Hospitality Investments Limited (1270) have disclosed that the total Manager Fees payable to the Hotel Manager for the year ended 31 December 2025 stood at HK$62.00 million, of which HK$27.96 million had already been settled for the first half of 2025. The remaining portion, covering the six months ended 31 December 2025, will be satisfied through the issuance of 55.81 million new Share Stapled Units (SSUs) at HK$0.61 per SSU.

To maintain compliance with the public float requirement, these 2H2025 Manager Fee Units will be allotted and issued in two batches. The first batch, comprising 25.39 million SSUs, will be allocated to LHIL Assets on the specified Payment Deadline Day. The remaining 30.42 million SSUs, designated as Deferred SSUs, will be issued on 2 April 2026 directly to the Qualifying Shareholders of Great Eagle through a Distribution in Specie. The Deferred SSUs will not be entitled to any distribution until their issuance date.

Following issuance of the first batch, the public float of Langham Hospitality Investments will remain at approximately 25.00%. After the subsequent allotment of the Deferred SSUs, the public float is expected to stand at approximately 25.29%. Both batches of SSUs will rank pari passu with existing SSUs on their respective dates of issuance. The arrangement, including the specific issuance price and the deferral mechanism, aligns with the Hotel Management Agreements, the Trademark Licence Agreements, and the SSU Issuance Cap for 2025.
