Malaysian Workforce Solutions Provider Sets Sights on Nasdaq Debut with $20M Fundraising Goal

Malaysia-based foreign labor recruitment specialist Kainan Holding Group (KHG.US) has taken a significant step toward its public market entry, submitting a registration statement to the U.S. Securities and Exchange Commission (SEC) on Monday. The company is targeting gross proceeds of up to $20 million through its initial public offering, according to the latest filing.

The offering comprises 4 million shares priced in a range of $4 to $6 per share, which would place the company's fully diluted market capitalization at approximately $104 million based on the midpoint of that pricing bracket. The filing signals the firm's ambition to tap into U.S. capital markets to fuel its expansion plans.

Kainan Holding Group operates as a comprehensive labor and human resource management provider, catering to client enterprises across Malaysia's manufacturing, construction, and service sectors. The company's core business involves recruiting, deploying, and supervising both temporary and skilled workers while also delivering onboarding training, workforce administration, and employment compliance support to its corporate clients. Revenue is generated through fees calculated based on the contracted attendance days of the deployed workers.

Headquartered in Shah Alam, Malaysia, the company was established in 2007 and has since carved out a niche in the regional workforce solutions landscape. The firm is now preparing for its listing on the Nasdaq exchange under the ticker symbol KHG, having confidentially submitted its IPO filing on March 23, 2026.

D. Boral Capital has been appointed as the sole underwriter for the proposed transaction, taking the lead in shepherding the company through the listing process.
