HSBC to Repurchase Shares Worth up to US$1.00 billion by 23 October 2026

HSBC Holdings plc (HSBC) will begin a share buy-back on 6 August 2026 for an aggregate consideration of up to US$1.00 billion. The programme is scheduled to conclude no later than 23 October 2026, subject to regulatory approvals remaining in force.

BNP Paribas Financial Markets SNC has been appointed under non-discretionary agreements to execute the repurchases as principal and will determine trading decisions independently of HSBC. Transactions will be carried out on the London Stock Exchange, Aquis Exchange, Cboe Europe (BXE and CXE order books), Turquoise, and The Stock Exchange of Hong Kong.

All repurchased ordinary shares of US$0.50 each will be cancelled, directly reducing the number of shares in issue. The authorisation permits the acquisition of up to 1,718.35 million ordinary shares, in line with the shareholder authority granted at the 8 May 2026 AGM.

The buy-back will be conducted within pre-set parameters and in accordance with the UK Companies Act 2006, the FCA’s Listing Rules, the Market Abuse Regulation, the Hong Kong Listing Rules, the Hong Kong Codes on Takeovers and Share Buy-backs, and applicable US federal securities laws.

HSBC reported total assets of US$3,438.00 billion as of 30 June 2026, operating across 56 countries and territories.
