Sandmartin International Holdings Limited disclosed a substantial capital reorganisation in a Next Day Disclosure Return filed on 30 March 2026.
On 25 March 2026, the company executed a two-step restructuring: 1) a 10-to-1 share consolidation, converting every ten ordinary shares of HK$0.10 par value into one consolidated share of HK$1.00; and 2) a cancellation of HK$0.90 paid-up capital on each consolidated share, lowering the par value back to HK$0.10.
As a result, the number of issued ordinary shares fell from 1.23 billion to 123.04 million, a decrease of 1.11 billion shares, or 90%. The closing balance of issued shares as of 25 March 2026 stands at 123.04 million, with no treasury shares outstanding and no share repurchases reported.
The board confirmed that the transaction complied with all applicable listing rules and regulatory requirements, and that all necessary filings and conditions for listing have been fulfilled. Company Secretary Tung Wing Yee Winnie submitted the return.
