Breton Technology Co., Ltd. (the “Company”) announced that on March 5, 2026, MINIERE VERTE SAS, an indirect non-wholly-owned subsidiary of the Company (as the employer), entered into a general construction contract with STE DE DEVELOPPEMENT DU COMMERCE ET DE CONSTRUCTION (as the contractor). The contract covers civil engineering and installation works for the Jinchuan Ruashi Digital Energy Project in the Ruashi mining area of Lubumbashi, Haut-Katanga Province, Democratic Republic of the Congo. The provisional total contract price is USD17.08 million, equivalent to approximately HKD133.22 million.

The project, designed to provide 118MWp photovoltaic capacity and 330MWh energy storage, includes civil works, installation, joint commissioning, testing, and inspection. Under the current schedule, construction is expected to start in March 2026 and be completed by July 30, 2026, totaling 150 days.

According to the announcement, this transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules, as the highest applicable percentage ratio exceeds 5% but remains below 25%. The board of directors stated that the contract was concluded through a public tender process and reflects normal commercial terms, with the pricing set through arm’s length negotiations based on the project’s scope, construction requirements, and overall market conditions.

The Company noted that proceeds for the project will be primarily funded by the net proceeds from its placing in November 2025, augmented by the Company’s own funds and bank borrowings. The investment is described as strategically significant for expanding the Company’s overseas new energy markets and advancing its “electric equipment + comprehensive energy” business plan.
