Global Digital Creations Holdings Limited (the “Company”, stock code: 8271) published a circular outlining the renewal of its finance services agreement with Shougang Group Finance Co. Ltd. (“Shougang Finance”). The proposal will be put to a vote at a special general meeting (SGM) scheduled for Friday, 6 February 2026, at 11:00 a.m. in Hong Kong.

According to the circular, Shougang Finance, a wholly owned subsidiary of Shougang Group, will continue providing deposit services and settlement services to the Company and its subsidiaries (the “Group”) for a term lasting until 31 December 2028. Under the agreement, the Group may deposit funds of up to RMB100 million (including accrued interest) with Shougang Finance. It is noted that Shougang Group, holding around 41.19% of the Company’s issued shares, is deemed a connected person; shareholders associated with Shougang Group will abstain from voting on the finance services agreement at the SGM.

Details in the circular state that deposit interest rates offered by Shougang Finance will not be lower than the benchmarks set by commercial banks and the People’s Bank of China. The board of directors highlighted that the arrangement—which includes free settlement services—aims to provide the Group with enhanced liquidity management and potentially higher interest returns.

The highest applicable percentage ratios for these continuing connected transactions exceed 100%, classifying the deal as a major transaction requiring independent shareholders’ approval. Shareholders are advised to review the circular carefully and submit proxy forms on time if unable to attend the SGM. Completion and return of the proxy forms will not preclude direct participation in the SGM, where the proposal on the finance services agreement, deposit cap, and related matters will be deliberated. If approved, the arrangement will continue until 31 December 2028.
