BAOGAI Shareholders Unanimously Approve Articles Revision, Abolish Supervisory Committee at September EGM

Shandong Baogai New Materials Technology Co., Ltd. (BAOGAI) reported that all resolutions tabled at the Extraordinary General Meeting (EGM) on 23 September 2026 were passed by poll with 100.00% support.

The meeting was attended, in person or by proxy, by holders of 43.40 million voting shares, representing 74.9955% of BAOGAI’s 57.87 million issued shares. Computershare Hong Kong Investor Services Limited acted as scrutineer; no shareholders were required to abstain or faced voting restrictions.

Key outcome: a special resolution amending the Articles of Association was endorsed, leading to the immediate abolition of the Supervisory Committee. Consequently, Mr. Yang Dawei, Ms. Fan Wenjing and Mr. Zhang Jicheng ceased to serve as Supervisors. All three confirmed no disagreements with the Board and no matters requiring shareholder attention.

Ordinary resolutions confirmed the re-election and re-appointment of all existing directors—executive directors Mr. Liu Zhentao, Ms. Li Xiaoyan, Mr. Li Dong, Ms. Sun Ailing and Ms. Fan Hongyan, and independent non-executive directors Mr. Leung Ka Wai, Mr. Wu Yingpeng and Mr. Ji Hongwei—each receiving 100.00% of votes cast. Shareholders also authorised the Board to determine directors’ remuneration.

With the new Articles in force and the Supervisory Committee dissolved, BAOGAI’s governance structure now centres solely on its Board of Directors, chaired by Mr. Liu Zhentao. The company will continue to disclose further governance developments via the Hong Kong Stock Exchange website and its corporate portal.
