ORBUSNEICH tables 2026 AGM agenda: HK $0.12 final dividend, mandates for 20% share issuance and 10% buy-back

ORBUSNEICH Medical Group Holdings Limited has issued its circular for the Annual General Meeting scheduled for 8 June 2026 in Hong Kong Science Park.

Dividend proposal • Board recommends a final dividend of HK $0.12 per share for FY 2025 (FY 2024: HK $0.10), payable on or around 26 June 2026. • Based on 827.97 million shares in issue at 2 April 2026, the payout will total about HK $99.40 million (approximately US $12.70 million). • The distribution will be funded from the share premium account, which stood at US $240.80 million as at 31 December 2025; post-payment balance will be roughly US $228.10 million.

Board changes • Three directors retire by rotation and offer themselves for re-election: – Ting San Peter Lionel Leung (Non-executive Director) – Yip Keung Chan (INED) – Ka Keung Lau BBS, MH, JP (INED)

Mandates sought • General mandate to issue new shares (including any sale/transfer of treasury shares) up to 20% of issued share capital—maximum 165.59 million shares on the current base. • General mandate to repurchase up to 10% of issued shares—maximum 82.80 million shares.

Auditor • Re-appointment of PricewaterhouseCoopers as external auditor for the next financial year with fee authorization to the Board.

Key timetable • Register closure for AGM: 3–8 June 2026 (both days inclusive); record date: 8 June 2026. • Register closure for dividend: 12–16 June 2026; record date: 16 June 2026.

Shareholders of ORBUSNEICH are advised to submit proxy forms by 11:00 a.m. on 6 June 2026 if unable to attend the AGM in person.
