BYD ELECTRONIC (00285) has announced that its two independent non-executive directors, Mr. Zhong Guowu and Mr. Qian Jingjie, will retire by rotation at the company's Annual General Meeting scheduled for June 9, 2026, in accordance with the company's articles of association. Since both Mr. Zhong and Mr. Qian have each served for more than nine years, exceeding the term limit stipulated by the Corporate Governance Code under the Hong Kong Stock Exchange's listing rules, they have decided not to seek re-election at the Annual General Meeting. Consequently, both directors will step down from their roles as independent non-executive directors upon the conclusion of the meeting. On the same day, Mr. Zhong will cease to serve as independent non-executive director, chairman of the audit committee, and member of the nomination and remuneration committees. Mr. Qian will also cease to serve as independent non-executive director, chairman of the remuneration committee, and member of the audit and nomination committees. To fill the resulting vacancies, the company will propose the election of Ms. Rong Xiuli and Mr. Cao Yushan as new independent non-executive directors at the Annual General Meeting, in compliance with the exchange's listing rules and the company's articles of association. Subject to shareholder approval of the relevant resolutions appointing Ms. Rong and Mr. Cao as independent non-executive directors, both will assume their positions immediately following the Annual General Meeting. Additionally, Ms. Rong will be appointed as chairman of the remuneration committee and as a member of the audit committee, nomination committee, and strategy and sustainable development committee. Mr. Cao will be appointed as chairman of the audit committee and as a member of the nomination and remuneration committees.
