China NT Pharma Group Company Limited (NT Pharma) has allotted 274.75 million new ordinary shares on 25 March 2026 to eight vendors as full consideration for acquiring 100% equity interests in designated target companies.

• Scale of issuance: The new shares represent 40.75% of NT Pharma’s pre-transaction issued share capital.

• Issue terms: Shares were issued at HKD 0.45 each, valuing the consideration at approximately HKD 123.64 million.

• Share capital impact: The company’s issued shares rose from 674.25 million to 949.00 million after the transaction, with no treasury shares outstanding. All newly issued shares rank pari passu with existing shares.

• Authorisation: The allotment was made under a specific mandate approved by shareholders at the extraordinary general meeting held on 15 January 2026 and confirmed by the board to comply with all applicable Hong Kong listing rules and regulatory requirements.
