Kin Pang Holdings Limited will convene its 2026 annual general meeting on 8 June 2026 at 11:00 a.m. at 22/F, Euro Trade Centre, Central, Hong Kong.
Key items for shareholder approval:
1. FY-25 financial statements • Adoption of the audited consolidated results and the directors’ and auditors’ reports for the year ended 31 December 2025.
2. Board matters • Re-election of retiring directors Kong Kin I and Zhao Zhipeng. • Board authorised to determine directors’ remuneration.
3. Auditor re-appointment • Renewal of Linksfield CPA Limited as external auditor with board-determined fees.
4. General share-issue mandate • Directors may allot, issue or deal with shares— including the resale of treasury shares—up to 20 % of the company’s issued share capital (excluding treasury shares) during the mandate period. • Authority extends to post-period issuances arising from offers, agreements or convertible securities granted within the mandate period.
5. Share repurchase mandate • Directors may repurchase shares on the Hong Kong Stock Exchange or other recognised bourses for up to 10 % of issued shares (excluding treasury shares) during the mandate period.
6. Extension of issue mandate • The share-issue mandate may be extended by the number of shares actually repurchased under the 10 % buy-back authority, effectively allowing issuance of up to an additional 10 % of share capital.

• Register closure: 3–8 June 2026 (both dates inclusive). Share transfers must be lodged with Tricor Investor Services by 4:30 p.m. on 2 June 2026 to qualify for attendance and voting. • All AGM resolutions will be decided by poll. • Contingency arrangements are in place for severe weather; any adjournment will be announced via HKEXnews and the company website.
As at the notice date, the board comprises two executive directors—Chairman and CEO Kong Kin I and Choi Fong Lan—and three independent non-executive directors: Cheung Kin Wing, Cheung Wai Lun Jacky and Zhao Zhipeng.
