Hong Kong-based integrated security services provider SU Group Holdings Limited (Nasdaq: SUGP) has announced a 1-for-5 reverse stock split of its Class A ordinary shares.
The reverse stock split, approved by the company's board of directors and a majority of shareholders on July 23, 2026, will take effect at 12:01 a.m. Eastern Time on August 6, 2026. Following the split, shares will begin trading on the Nasdaq Capital Market on a split-adjusted basis.
Following the reverse stock split, the number of issued and outstanding ordinary shares will decrease from approximately 7,124,092 to about 1,424,819. The par value per share will change from 0.000001 Hong Kong dollars to 0.000005 Hong Kong dollars.
No fractional shares will be created as a result of the reverse stock split. Every five existing shares held by shareholders will be combined into one share, with any fractional shares rounded up to one full share.
The company's stock will continue to trade under the ticker symbol "SUGP" and has been assigned a new CUSIP number, G8552M141.
The primary purpose of this reverse stock split is to help the company regain compliance with Nasdaq's minimum bid price requirement of $1.00 per share. SU Group received a delisting determination notice from Nasdaq on August 3, 2026, due to its stock price remaining below that threshold.
The company has requested a hearing to appeal the delisting ruling and expects the reverse stock split to restore its compliance status.
