Nexteer (1316) Announces Appointment of Executive Director

Nexteer Automotive Group Limited (1316) announced the appointment of Mr. Hervé Paul Gino BOYER, aged 54, as an Executive Director effective November 12, 2025. Mr. BOYER has over 25 years of experience in the automotive industry and has served as Senior Vice President, Global Chief Operating Officer, and North America Division President since August 2021. His responsibilities include overseeing day-to-day value chain management, profit and loss performance, and operational efficiencies across all divisions.

Prior to his current role, Mr. BOYER was Vice President, Divisional President of the EMEASA Division from March 2016 to August 2021. Before joining Nexteer, he served as executive director of NBHX Electronics from May 2015 to February 2016 and held multiple leadership positions at Faurecia Group. He earned a master's degree in mechanical engineering from L’Ecole Centrale de Nantes, France, in 1994 and completed the Advanced Management Programme at Harvard Business School in 2014.

Under a three-year service agreement beginning November 12, 2025, Mr. BOYER will not receive emoluments as an Executive Director. However, in his capacity as Senior Vice President, Global Chief Operating Officer, and North America Division President, he will receive an annual salary of US$700,000 plus a discretionary bonus. He currently holds an interest in 558,760 underlying shares of Nexteer Automotive Group Limited.

According to the announcement, Mr. BOYER has no relationships with any directors, senior management, or substantial shareholders of Nexteer Automotive Group Limited and does not hold directorships in other listed companies. The board has welcomed his appointment and confirms no other matters need to be brought to the attention of the shareholders.
