NEAUTUS Debuts in Hong Kong: Tiny $3 Billion Market Cap Listing, the Only Deal Without Cornerstone Backing

Deep News
10/30

On October 30, the Hong Kong stock market saw a long-awaited mini wave of IPOs, with six companies launching share offerings on the same day and one more listing by introduction. Among the new offerings, traditional Chinese medicine decoction piece supplier NEAUTUS (02206.HK) stands out as somewhat unusual — it is the smallest by market value, the smallest by offering size, and the only deal going entirely without cornerstone investors among the companies raising funds that day. In the current Hong Kong IPO landscape, going without a cornerstone investor often suggests either extreme confidence or extreme helplessness. For NEAUTUS, it looks more like a real test of the mismatch between its traditional business foundation and the preferences of the capital markets.

A highly fragmented market where fundamentals are improving at the margin

The prospectus shows that NEAUTUS is a major supplier of traditional Chinese medicine decoction pieces in China, ranking second in the country by 2025 revenue. Yet behind that number-two title lies the reality of an extremely fragmented industry — NEAUTUS's market share is only 0.4%, and the top five players together account for just 2.7%. As a traditional company founded in Chengdu, Sichuan, NEAUTUS's core business is concentrated in decoction piece products, covering toxic decoction pieces such as prepared pinellia and cleared pinellia, as well as ordinary decoction pieces such as fritillaria cirrhosa, dwarf lilyturf, and coptis. Judging by the financials, this is a company with steady profits whose performance has recently been improving at an accelerating pace. From 2023 to 2025, revenue rose steadily from RMB 1.146 billion to RMB 1.335 billion. The latest figures disclosed in the prospectus show that in the first four months of 2026, the company generated revenue of RMB 432 million, up 12.9% year on year, while net profit for the period reached RMB 33.9 million, surging 63.8% year on year. Behind the profit growth far outpacing revenue growth is a notable recovery in gross margin — in the first four months of 2026, gross margin rose to 21.8%, up nearly 3 percentage points from 18.9% in the same period of 2025, which the company attributes mainly to lower procurement costs for key raw materials such as fritillaria cirrhosa and prepared pinellia. This is not the kind of new-economy target that can tell a story of boundless ambition, but rather a traditional manufacturer that earns money step by step and has enjoyed a brief cost-side tailwind.

Channel shift: hospital volume growth, pharmacy setbacks, and the centralized procurement dividend

A closer look at NEAUTUS's business structure reveals that its fundamentals are undergoing a profound channel reshaping. Hospitals and medical institutions are currently the company's most important growth engine. In the first four months of 2026, this channel contributed RMB 170 million in revenue, accounting for about 39.4%. The prospectus discloses that in the first round of centralized procurement in 2025, the company won bids for 29 products, with 1,302 public hospitals choosing its products, of which 1,217 were entirely new customers, and cumulative winning contract value reached RMB 32.9 million. In the second round of centralized procurement in 2026, 40 of the 41 products the company bid for were selected; although no actual revenue has been generated yet, this has locked in a foundation for subsequent hospital-side volume growth. Medical trading companies, as the second-largest channel, contributed RMB 150 million in revenue in the first four months of 2026, accounting for 34.3%. But pharmacies, once the main channel, are shrinking sharply. Revenue from this channel fell from RMB 238 million in 2023 all the way to RMB 179 million in 2025; in the first four months of 2026 it recorded only RMB 61.82 million, or 14.3%, continuing to decline year on year. The prospectus points directly to the policy pain point: after the National Healthcare Security Administration tightened rules on outsourced prescription management in October 2024, prescription circulation became restricted, and patients became more inclined to fill prescriptions directly within hospitals, causing the volume of decoction pieces flowing into retail pharmacies to drop sharply. At the same time, declining sales of high-value products such as fritillaria cirrhosa and fried ziziphus seed also dragged on retail performance. On the volume side, the company is pursuing a strategy of trading price for volume. For the nine months ended September 30, 2026, total sales volume of traditional Chinese medicine decoction pieces reached 10,118 tonnes, up 34% year on year, but average selling price slipped about 8%, reflecting intense market competition.

Hidden concerns: cash outflow and heavy working capital occupation

Although the income statement is improving, the balance sheet and cash flow statement reveal hidden concerns. In the first four months of 2026, the company recorded net cash outflow from operating activities of RMB 27 million, compared with a net outflow of RMB 22.87 million in the same period a year earlier. The company explains this as seasonal: slower collection of trade receivables in the first quarter, which increased by RMB 37.8 million, combined with payment of annual year-end bonuses and a reduction of RMB 28.6 million in trade payables. For a company in a low-margin, working-capital-heavy industry, profit not converting into cash in step is a signal that needs continued tracking. As of the end of April 2026, the company's cash and cash equivalents had fallen to RMB 119 million, while current liabilities stood at RMB 656 million. Although the current ratio of 1.71 and quick ratio of 1.32 remain in a safe range, the net debt-to-equity ratio has climbed from 4.1% at the end of 2024 to 16.7%.

The pricing challenge behind the absence of cornerstone investors

Returning to the offering structure of this IPO, NEAUTUS plans a global offering of 6.5173 million H shares, with an offer price range of HK$40.20 to HK$50.55. At the top end, total proceeds would be only HK$330 million, with net proceeds of about HK$230 million, corresponding to a market value of roughly HK$3.3 billion. At this size, not bringing in cornerstone investors means the international placing side depends entirely on the bookbuilding and price discovery capabilities of the underwriting syndicate. Among the six new listings that day, the other larger deals more or less had cornerstone support. NEAUTUS's choice to go bare reflects, on one hand, an offering too small to carve up for institutions, and on the other hand, the difficulty for the rather traditional traditional Chinese medicine decoction piece sector to attract long-only funds willing to make lock-up commitments in a Hong Kong market currently favoring AI, hard tech, and overseas expansion concepts. In a market environment where recent large IPO deals have generally been able to lock in 30% to 50% cornerstone participation, NEAUTUS's zero-cornerstone approach leaves its first-day performance fully exposed to retail sentiment and the currently weak liquidity environment.

Conclusion

NEAUTUS's prospectus shows the resilience of a traditional company under the centralized procurement dividend — steady revenue growth, recovering profit, restored gross margin, and effective hospital-side expansion. But in the current weak market environment, a traditional Chinese medicine company with a market value of only about HK$3 billion, net proceeds of less than HK$300 million, no cornerstone investors, and cash flow pressured by working capital occupation will find it no easy task to win real recognition from the market. Without the endorsement of cornerstone investors, NEAUTUS needs to prove to the market that the profit recovery of a traditional industry is solid enough to withstand the waves of the secondary market.
