AF Global Limited and AFG Investment Pte. Ltd. announced on Jan, 21 2026 that the court-convened scheme meeting, originally set for Feb, 05 2026, will be deferred to a date to be determined.

The companies said the postponement is required to update the scheme document with new information on AF Global’s joint-venture investment in Xuzhou, China, disclosed on Jan, 21 2026. The scheme consideration offered by AFG Investment remains unchanged.

A revised or supplemental scheme document will be issued, incorporating an updated opinion from the independent financial adviser. Shareholders will need to submit new proxy forms once the updated timetable is released.

The Securities Investors Association (Singapore) dialogue session, planned for Jan, 27 2026, will also be deferred. New dates for both the scheme meeting and the dialogue session will be announced in due course.

The companies noted that additional approvals or clearances may be required from the Singapore Exchange, the Securities Industry Council and the High Court because of the delay.
