China Jinmao Raises Intra-Group Loan Caps to RMB 1.04 Billion and RMB 2.90 Billion

China Jinmao Holdings Group Limited announced that its 54.5%-owned subsidiary Shanghai Baoyang Maoye Construction and Development Co., Ltd. has signed a supplemental agreement to increase the maximum daily balances of loans it can extend to two minority shareholders—Shanghai Baoye Group Corp., Ltd. and Shanghai Yanghang Urban Construction Co., Ltd.—under an existing framework agreement dated 31 July 2025.

The revised caps raise the loan limit for Shanghai Baoye from RMB 0.63 billion to RMB 1.04 billion and for Shanghai Yanghang from RMB 1.75 billion to RMB 2.90 billion. All other terms of the original framework agreement remain unchanged, including the requirement that any advances be made pro rata to each shareholder’s equity stake in Shanghai Baoyang (Suzhou Tengmao 26.0%, Shanghai Baoye 19.5%, Shanghai Yanghang 54.5%).

Management cited robust cash inflows from Shanghai Baoyang’s recent project sales and the acquisition of a new land parcel as drivers for the upward revision, aiming to redeploy idle cash, enhance capital efficiency and support broader group development needs. Shanghai Baoyang will retain sufficient working capital to fund at least the next three months of project requirements.

Regulatory classification: As the revised aggregate loan caps trigger percentage ratios above 5% but below 25% under the Hong Kong Listing Rules, the transaction is deemed a “discloseable transaction,” requiring public announcement but not shareholder approval. The loans do not constitute connected transactions because Shanghai Baoyang is classified as an “insignificant subsidiary,” rendering its substantial shareholders—Shanghai Baoye and Shanghai Yanghang—non-connected persons relative to China Jinmao.

China Jinmao remains the property development platform of Sinochem Holdings Corporation Ltd., with core businesses spanning residential and integrated developments, commercial leasing, hotel and retail operations, property services, construction technology, and urban renewal in mainland China.
