Immaculate Diamonds Limited (the Offeror) and Perfect Group International Holdings Limited (3326) jointly released an announcement confirming that the Grand Court of the Cayman Islands sanctioned the scheme of arrangement for the privatization of Perfect Group International Holdings Limited on 24 October 2025. Following sanction, all conditions stipulated in the scheme documentation have been met, rendering the scheme effective on 28 October 2025 (Cayman Islands time).

According to the announcement, the listing of Perfect Group International Holdings Limited (3326) on the Main Board of the Stock Exchange is scheduled to be withdrawn from 4:00 p.m. on 31 October 2025. Cheques representing the cancellation price under the scheme will be dispatched to entitled shareholders by 7 November 2025 at the latest, subject to possible rescheduling if extreme weather conditions occur in Hong Kong.
