Jinshang Bank Acquires Majority Stake in Its Consumer Finance Arm for 730 Million Yuan

Jinshang Bank has announced a significant capital injection into its associated consumer finance company. The bank recently disclosed on the Hong Kong Stock Exchange that it plans to use 730 million yuan of its own funds to exclusively subscribe to 500 million new shares in Jinshang Consumer Finance Co., Ltd., at a price of 1.46 yuan per share.

Upon completion of the capital injection, the registered capital of Jinshang Consumer Finance will double from 500 million yuan to 1 billion yuan. Consequently, Jinshang Bank's shareholding in the company will increase from 40% to 70%.

In essence, this move grants Jinshang Bank absolute control over the licensed consumer finance firm. Jinshang Consumer Finance will now be consolidated as a subsidiary into the bank's financial statements.

A Mandatory Compliance Move

The primary catalyst for this capital increase is a tightening regulatory environment. In March 2024, the National Financial Regulatory Administration introduced a new version of the "Administrative Measures for Consumer Finance Companies," which took effect on April 18th of the same year. The new rules stipulate two key requirements: the minimum registered capital is raised from 300 million yuan to 1 billion yuan, which must be paid-in monetary capital, and the minimum shareholding ratio for a major contributor is increased from 30% to 50%.

Measured against these new standards, Jinshang Consumer Finance, with its 500 million yuan registered capital and a 40% stake held by its largest shareholder, Jinshang Bank, found itself precisely at the threshold requiring capital rectification.

More critically, most institutions in the industry have already met the new requirements. Jinshang Consumer Finance, along with Mengshang Consumer Finance (registered capital of 500 million yuan) and Shengyin Consumer Finance (registered capital of 300 million yuan), are among the few yet to comply.

Therefore, Jinshang Bank's 730 million yuan directed capital increase, aimed at raising the registered capital to 1 billion yuan and its stake to 70%, is primarily a compliance-driven sprint to alleviate pressure on the company's operating license.

However, beyond regulatory imperatives, the pricing of this transaction is telling. According to a report from independent third-party appraiser Beijing Zhuoxin Dahua Asset Appraisal Co., Ltd., using May 31, 2026, as the valuation date, the book value of all shareholders' equity in Jinshang Consumer Finance was approximately 970 million yuan. The final appraisal value, however, was only 730 million yuan, equating to 1.46 yuan per share.

This indicates a discounted transaction priced below net asset value. The appraisal team opted for the market approach, which better reflects actual transaction sentiment, over the asset-based approach that struggles to capture the value of the license and future profit potential.

Using three comparable capital increase transactions in the consumer finance sector—Ningyin Consumer Finance, Jincheng Consumer Finance, and Suyin Kaiji Consumer Finance—as benchmarks and adjusting for scale, profitability, and asset quality, an average price-to-book ratio of about 0.75x was derived and used as a reference for valuing Jinshang Consumer Finance.

While consumer finance licenses once commanded high valuation premiums during more prosperous times, the current 0.75x P/B ratio reflects both rising credit risk premiums in a tightening macro environment and the company's relatively weak profitability. In 2025, the company reported operating revenue of approximately 690 million yuan but a net profit of only 40.42 million yuan. This transaction can be seen as a rational arrangement between buyer and seller during a challenging period.

To provide an additional safeguard, the agreement stipulates that if regulatory approval is ultimately not granted, Jinshang Consumer Finance must refund the full subscription amount plus interest calculated based on the Loan Prime Rate (LPR).

Evolving Ownership and Strategic Direction

To understand Jinshang Consumer Finance's current position, it's helpful to review its dramatic shareholder changes over the past decade. Established in February 2016 as the 14th nationally licensed consumer finance company and the only one in Shanxi province, it started with a registered capital of 500 million yuan. Its initial ownership structure was a notable "mixed-ownership" model combining "bank + internet + technology + retail."

Under this model, Jinshang Bank held a 40% stake, providing capital and the foundational license. Qifei Xiangyi, a subsidiary of Qihoo 360, invested 125 million yuan for a 25% stake, responsible for online traffic acquisition; they jointly launched the core product "Jie Wa." Yucheng Technology, through Tianjin Yucheng Yicheng, invested 100 million yuan for a 20% stake, providing the underlying full-process IT system. Now, with Jinshang Bank injecting 730 million yuan to raise its stake from 40% to 70%, achieving absolute control, and the company's registered capital doubling to 1 billion yuan, the era of multi-party ownership with deep internet platform involvement has concluded. The future direction of Jinshang Consumer Finance will be predominantly steered by Jinshang Bank.

The Strategic Value of a National License

Focusing back on Jinshang Bank, the growth pressures and retail突围 intentions behind this 730 million yuan investment become clearer. Reviewing Jinshang Bank's 2025 annual report reveals a regional city commercial bank facing a typical scenario of "increased scale without increased income."

By the end of 2025, the bank's total assets grew steadily by 4.4% to 393 billion yuan. However, full-year operating revenue fell 6.0% year-on-year to 5.45 billion yuan, and net profit also declined by 4.9% to 1.66 billion yuan.

The core factor dragging down profitability is the持续收窄 of net interest margin. Its net interest margin dropped from 1.20% in 2024 to 1.07% in 2025, while the net interest spread narrowed from 1.07% to 0.96%, indicating clear downward pressure on asset-side pricing.

Against the backdrop of a significant 17.5% contraction in corporate banking revenue, the retail banking segment assumed greater importance, with its contribution to operating revenue rising from 23.9% to 25.3%.

However, the retail asset-liability structure shows concerning trends. On the liability side, savings have明显"定期化." Limited by regulatory restrictions on城商行 conducting business异地, Jinshang Bank's credit deployment has long been concentrated locally. Jinshang Consumer Finance's national跨区域 operating资质 and its accumulated online customer base恰好 provide a compliant channel for the bank to reach下沉 markets nationwide via internet channels.

However, this national license brings not only growth opportunities but also significant challenges. On the profitability front, nearly all of Jinshang Consumer Finance's assets are deployed in loans, indicating high utilization, but the output is somewhat "large but not strong." In 2025, the company's nearly 690 million yuan in operating revenue translated into only 40.42 million yuan in net profit, a net profit margin of less than 5.9% and a return on total assets of only about 0.4%. Regarding risk control and compliance, the requirements for nationwide跨区域 operations are far more complex than for a城商行's local business.
