Frasers Logistics & Commercial Trust Unitholders Approve European Property Acquisition

Frasers Logistics & Commercial Trust (BUOU) reported that its unitholders have overwhelmingly approved the proposed acquisition of interests in four logistics and industrial properties located in Germany and the Netherlands.

At the Extraordinary General Meeting held on Jul, 15 2026 in Singapore, the sole resolution to proceed with the purchase was passed with 832.9 million units (99.90%) voting in favour and 0.8 million units (0.10%) against.

The assets—situated near key infrastructure hubs such as Duisburg, Düsseldorf, Rotterdam and Breda—will be funded entirely through euro-denominated debt, providing a natural currency hedge for the Singapore-listed REIT. Management said the transaction is expected to be distribution-per-unit accretive, supported by built-in annual CPI indexation and rents that are currently below market levels for some of the properties.

The trust’s manager emphasised that FLCT’s gearing has remained low, enabling it to capitalise on what it views as an attractive entry point for European logistics assets. Following unitholder approval, the transaction will proceed under the previously announced sale and purchase agreements with sponsor Frasers Property Limited, which will retain a 10.1% stake in two of the four properties for at least 10 years.

The meeting was chaired by Mr Phang Sin Min, with the board, senior management, trustee representatives and KPMG LLP auditors in attendance. The session concluded at 11:04 a.m. after addressing unitholder questions on funding, currency risks and future growth opportunities.
