ZA ONLINE (ZhongAn Online P & C Insurance Co., Ltd.) intends to rotate its external auditor, ending PricewaterhouseCoopers’ decade-long mandate and proposing the appointment of Deloitte Touche Tohmatsu and Deloitte Touche Tohmatsu Certified Public Accountants LLP as international and PRC auditors respectively. The change will take effect following shareholder approval at the annual general meeting scheduled for 23 June 2026.

The Board resolved on 22 May 2026 not to re-appoint PwC—comprising PricewaterhouseCoopers and PricewaterhouseCoopers Zhong Tian LLP—citing corporate governance best practice that encourages periodic auditor rotation after an appropriate tenure.

The Audit and Consumer Rights Protection Committee benchmarked Deloitte against multiple criteria, including: • Proven experience with Hong Kong-listed companies and familiarity with Listing Rules and HKFRS • Adequate manpower, time allocation and technical resources • Independence, objectivity and market reputation • Competitive audit fees • Alignment with AFRC’s “Guidelines for Effective Audit Committees” (Dec 2021) and “Guidance Notes on Change of Auditors” (Sep 2023)

Following this assessment, the Board concluded Deloitte is independent, competent and capable of delivering a high-quality audit.

ZA ONLINE confirmed there are no disagreements or unresolved matters with PwC, and no issues require notification to shareholders or creditors. A circular outlining the proposed appointment and the AGM notice will be dispatched in due course.
