UMP Healthcare: No Change in March Share Capital; 810.96 Million Shares in Issue, Public Float Intact

For the month ended 31 March 2026, UMP Healthcare Holdings Limited (UMP) reported stable capital metrics, with no movements in either authorised or issued share capital.

The company’s authorised share capital remained at 5.00 million ordinary shares with a par value of HKD 0.001 each, equivalent to HKD 5.00 million. Issued shares stood unchanged at 810.96 million, and UMP continued to hold no treasury shares. Consequently, total issued shares (including treasury shares) were also flat at 810.96 million.

UMP confirmed compliance with the Hong Kong Stock Exchange’s minimum public-float requirement of 25% of issued shares, ensuring sufficient free-float liquidity in the market.

Share-based incentives registered no activity during the month. Under the terminated Post-IPO Share Option Scheme, 10.20 million options remain outstanding, representing approximately 1.26% of current issued shares. The newly adopted 2023 Share Option Scheme had no options outstanding at end-March, but authorises issuance of up to 81.10 million shares in future grants. No options were exercised, no shares were issued, and no funds were raised through option exercises in March.

The filing, submitted by Company Secretary Tong Mo Ting on 8 April 2026, records no warrants, convertibles, treasury-share transactions, or other equity instruments affecting the share count during the period.

With static share capital and a confirmed adequate public float, UMP enters the new quarter maintaining its established capital structure and flexibility to utilise its 2023 option scheme for future incentives.
