Datang International Power Generation Co., Ltd. (Datang Power: 00991) convened the sixth meeting of its twelfth session of the board of directors on 28 October 2025. Fourteen of the fifteen eligible directors attended in person, with one director authorizing a proxy to vote on his behalf. The meeting was deemed lawful and valid in accordance with applicable laws and the company’s articles of association.

Datang Power approved the election of Li Xiaofei as the new chairman of the twelfth session of its board. Li Kai ceased to serve in this role, and the board also approved adjustments to the Strategic Development and Risk Control Committee, now led by Li Xiaofei as convenor.

The board confirmed and published the Third Quarterly Report of 2025 and approved a provision for impairment of certain affiliated enterprises’ assets. Further resolutions included a capital increase and share expansion for Datang Shantou Renewable Power Company Limited through public tender, and the transfer at nil consideration of equity interests in three affiliates of Datang Heilongjiang Renewable Power Development Co., Ltd.

Additional approved measures involved absorption and merger actions by Datang Hebei Power Generation Co., Ltd. and Hebei Datang International Fengrun Thermal Power Company Limited, along with a plan to transfer 51% equity interests in Baoding Shenghe Water Recycling Development Company Limited through public tender. The board also passed an investment resolution supporting a 2×660MW thermal power cogeneration expansion project at Xia Hua Yuan Plant, with a total planned investment of approximately RMB5.708 billion.

Lastly, the board approved the Performance Appraisal and Salary Payment Plan of Management Members for 2024 and 2022–2024, following prior review by the Remuneration and Appraisal Committee.
