Bairong Inc. (BAIRONG-W) announced that its board has approved the grant of 3.13 million share awards to employee participants under the 2024 Share Scheme. The awards, dated 2 July 2026, account for approximately 0.83% of the company’s issued Class B shares (excluding treasury shares).
The awards carry no subscription price and will be satisfied through newly issued or treasury Class B shares within the existing Scheme Mandate Limit. Post-grant, 24.07 million Class B shares remain available for future issuance under the scheme, alongside 4.73 million shares reserved for service-provider grants.
Vesting will occur in three tranches, conditional on individual performance reviews: • 50% on 2 July 2028 • 25% on 2 July 2029 • 25% on 2 July 2030
A clawback mechanism allows the board to forfeit or reclaim unvested or vested shares if grantees commit integrity breaches, serious misconduct, or other actions deemed materially adverse to the group.
The company states the initiative aims to attract and retain talent while aligning employee interests with long-term shareholder value creation. No directors, senior management, substantial shareholders, or related-party participants are included in this grant, and no shareholder approval is required under Hong Kong Listing Rules 17.06A–17.06C.
