Bank of Tianjin Unveils 2025 Profit Distribution, Books RMB3.77 B Net Profit, Sets AGM for 29 April 2026

Bank of Tianjin (01578) has released its 2025 financial and governance package, detailing profit distribution, board performance, risk metrics and auditor appointments ahead of the Annual General Meeting (AGM) scheduled for 29 April 2026 in Tianjin.

Financial Highlights (FY2025) • Total profit reached RMB4.15 billion, with income tax expenses of RMB0.38 billion, yielding a net profit of RMB3.77 billion. • RMB1.05 billion has been appropriated to the general risk reserve; no allocation was made to the statutory surplus reserve. • A cash dividend of RMB1.368 per 10 shares (tax inclusive) will be distributed, amounting to RMB0.83 billion. Post-distribution, RMB1.89 billion of profit will remain undistributed. • The dividend record date is 12 May 2026; H-share register closes 6–12 May 2026, with payment slated for 24 June 2026. Dividends to H-shareholders will be paid in Hong Kong dollars at the PBoC’s average middle rate for the five business days preceding the AGM.

Governance & Board Activity • During 2025 the Board convened 10 meetings, passed 83 resolutions and reviewed 29 reports; three shareholder meetings approved 15 resolutions. • Key corporate governance actions included a comprehensive revision of the Articles of Association, completion of the 8th Board’s director election, and the formation of a Digital Finance Committee to accelerate the bank’s technology-driven strategy. • Two new independent non-executive directors with expertise in IT and law joined in January 2025; a further independent director nomination awaits regulatory approval.

Risk & Compliance • The Board approved updated policies on operational, IT and criminal-related risks and endorsed the 2025 Risk Appetite Statement. • Equity pledge ratio fell to 6.79%, down 0.86 ppt year-on-year, remaining within regulatory limits. • Related-party transactions: 157 deals valued at RMB58.33 billion, including two major transactions totalling RMB18.00 billion. Aggregate related-party credit equalled RMB17.54 billion, 17.86% of net capital, below the 50% regulatory cap. • The largest single related-party credit stood at RMB3.64 billion (3.70% of net capital), well under the 10% threshold.

Auditor Appointment & Fees • KPMG Huazhen LLP is proposed as domestic auditor for the 2026 PRC GAAP statements, with KPMG to handle interim review and annual audit under IFRS. Combined fees are estimated at RMB4.96 million.

Additional Disclosures • The Board reported full compliance with information-disclosure obligations, issuing over 50 statutory reports and announcements during 2025. • Directors’ performance evaluations rated all 15 members “Competent”; liability insurance coverage stands at USD30 million. • Specialised committees—including Strategy, Audit, Risk Management, Related-Party Transactions, Nomination & Remuneration, Inclusive Finance & Consumer Protection, and Digital Finance—collectively held 26 meetings and processed 96 resolutions in 2025.
