PCCW (0008) Outlines Revised Nomination Committee Terms

PCCW Limited (0008) has announced an updated Terms of Reference for its Nomination Committee, originally established on 9 May 2003 and revised on 13 November 2025. According to the announcement, the Committee’s objective is to ensure a fair and transparent appointment and re-appointment process for directors, and to maintain a diverse balance of skills, knowledge, and experience on the Board.

The updated Terms of Reference indicate that the Committee is composed of at least three members, the majority of whom are independent non-executive directors, with at least one member of a different gender. The Chairman of the Committee is also appointed by the Board and may be the Chairman of the Board or an independent non-executive director.

The Committee is authorized to seek information from employees and to obtain outside professional advice when necessary. The announcement notes that the Committee’s duties include reviewing the Board’s structure and composition, identifying suitably qualified candidates for Board positions, making recommendations on appointments and re-appointments, assessing director independence annually, and formulating policies related to Board diversity and nomination procedures.

Under the revised guidelines, the Committee will hold meetings at times deemed appropriate, with a quorum of two members. It will report regularly to the Board, and its meeting minutes will be circulated among members. The Terms of Reference will also be reviewed on an annual basis, with updates approved as needed by the Board.
