Genscript Biotech Corporation reported that independent non-executive director (INED) and Audit Committee member Dr. Alphonse Galdes passed away on 13 September 2026 (Hong Kong Time). Dr. Galdes had served on the Board since September 2024.

Effective 16 September 2026, the Board appointed INED Dr. Victor Shi to the Audit Committee. Concurrently, Dr. Shi stepped down from the Nomination Committee and the Strategy Committee.

Post-reconfiguration, the Board consists of nine directors—four executive and five independent. The Audit Committee now comprises three members: Chairman Mr. Andy Cheung, Mr. Ethan Pan and Dr. Victor Shi. The Nomination Committee consists of five members, and the Strategy Committee comprises three members.

The company stated that it continues to meet the minimum requirements for independent non-executive directors under Listing Rule 3.10(1) and for Audit Committee membership under Listing Rule 3.21.
