DATA UNION CAP (08375) announced that on May 22, 2026, following fair negotiations, the company's indirect wholly-owned subsidiary, Decheng, entered into a master sales agreement with the buyer, Guangzhou Zhengye Electronic Technology Co., Ltd. The agreement pertains to the sale of electronic components and hardware products by Decheng to the buyer and is effective from the commencement date until December 31, 2028, inclusive. Under the terms and conditions of the master sales agreement and pursuant to specific purchase orders to be subsequently agreed between Decheng and the buyer, Decheng agrees to sell, and the buyer agrees to purchase, electronic components and hardware products manufactured or sourced by Decheng. These products include, but are not limited to, integrated circuits, semiconductors (such as diodes and transistors), charging equipment, LED lighting products, and LED displays and screens. Additionally, Decheng will provide complimentary value-added services to the buyer related to the product purchases, including assessments of relevant suppliers and manufacturers, order tracking, after-sales service, and the provision of monthly or quarterly reports containing data records and analysis of the buyer's procurement activities under the agreement. The company believes that entering into the master sales agreement aligns with the overall interests of the company and its shareholders, as the sale of products to the buyer is expected to increase the group's sales revenue and further strengthen the performance of its electronic components and hardware trading business.
