Duality Biotherapeutics, Inc. disclosed a series of corporate administration changes effective 26 June 2026.

Leadership Transition • Joint Company Secretary, Authorized Representative and Process Agent: Ms. Tsang Wing Man has resigned from all three posts. • Successor: Mr. Leung Chi Kit assumes the vacated roles while Ms. Yuan Jiali continues as the other Joint Company Secretary. • Credentials: Mr. Leung brings more than 12 years of corporate secretarial experience, holds a bachelor’s degree in accounting and marketing, and is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). Ms. Yuan, the Group’s head of legal and compliance, has approximately 17 years of legal experience.

HKEX Waiver Update • Original Waiver: The Stock Exchange had granted a three-year waiver (15 April 2025–14 April 2028) from strict compliance with Listing Rules 3.28 and 8.17 to allow Ms. Yuan to serve as Joint Company Secretary under the mentorship of Ms. Tsang. • New Waiver: Following Ms. Tsang’s resignation, the Exchange approved a replacement waiver for the remainder of the period, provided that Mr. Leung assists Ms. Yuan and that the company avoids material Listing Rule breaches. The waiver will lapse if Mr. Leung ceases to act as Joint Company Secretary.

Office Relocation • Duality Biotherapeutics’ principal place of business in Hong Kong has moved to 31/F, Tower Two, Times Square, 1 Matheson Street, Causeway Bay, effective 26 June 2026.

The Board expressed appreciation to Ms. Tsang for her service and welcomed Mr. Leung to his new positions.
