China Baoli Technologies Holdings Limited reported that its sole ordinary resolution on the proposed subscription agreements and related share issuance was approved at the Special General Meeting (SGM) held on 6 October 2026 in Hong Kong.

All 76.18 million votes cast at the meeting—representing 100% of the votes exercised—supported the resolution. No votes were recorded against the proposal, and no shares were excluded from the calculation of the poll results.

Ahead of the ballot, 11 identified shareholders—collectively holding 35.44 million shares, or 10.15% of the company’s 349.26 million issued shares—were required to abstain in accordance with Hong Kong Listing Rule 2.15. Consequently, 313.82 million shares (89.85% of issued share capital) were eligible to vote.

The approved resolution: • Ratifies all subscription agreements and their contemplated transactions. • Grants directors a specific mandate to allot and issue the corresponding subscription shares. • Authorises any director to execute all related documents and actions necessary to complete the transactions.

Tricor Investor Services Limited acted as the scrutineer. Members of the board, including Chairman Wang Bin and CEO Chu Wei Ning, attended the meeting in person or via electronic means.
