Hopson Development Holdings Limited (Hopson Dev Hold) has announced that the publication of its audited annual results for the year ended 31 December 2025 (FY2025) will be delayed beyond the 31 March 2026 statutory deadline set out in Listing Rule 13.49(1).

The Group and its auditor require more time to complete the FY2025 audit due to three outstanding matters: 1. Pending replies to certain audit confirmations. 2. Ongoing review of final drafts and working papers for valuation reports. 3. Further discussions on the sufficiency of information for the going-concern assessment.

Because of the delay, Hopson Dev Hold faces potential non-compliance with multiple Listing Rules: • Rule 13.49 – delay in publishing audited FY2025 results. • Rule 13.46(2) – expected delay in despatching the FY2025 annual report (original deadline: 30 April 2026).

The board meeting originally scheduled for 31 March 2026 to approve the audited results and consider any final dividend has been postponed until further notice.

Under Rule 13.50, the Stock Exchange normally requests suspension of trading when periodic financial information is not published on time. Hopson Dev Hold expects trading in its shares to be suspended from 9:00 a.m. on 1 April 2026 and to remain halted until the FY2025 audited results are released.

The company is evaluating options, including a possible change of auditor, to expedite resolution of the outstanding issues. Further announcements will be made on the revised timetable for results publication, annual-report despatch, the rescheduled board meeting, and any updates on trading suspension.
