Everest Med: Issued Shares Reach 353.84 Million After July Option Exercises; Public Float Remains Adequate

Everest Medicines Ltd (Everest Med) reported a marginal increase in its issued share base for July 2026, driven by employee option exercises, while confirming continued compliance with Hong Kong’s minimum public-float requirements.

The company’s authorised capital was unchanged at 500.00 million ordinary shares with a par value of USD 0.0001 each, equivalent to USD 50,000.

Total issued shares (excluding treasury stock) rose by 9,147 to 353.84 million, reflecting the exercise of options under the post-IPO share option scheme. No treasury shares were outstanding at month-end.

Everest Med affirmed that at least 25% of its issued share capital remained in public hands, satisfying Main Board Rule 13.32B.

Key equity incentive movements: • Pre-IPO Employee Share Option Plan: 158,573 options remained outstanding. • Post-IPO Share Option Scheme: Outstanding options declined to 20.70 million after 9,147 options were exercised and 100,261 lapsed; HKD 0.15 million was raised from the exercises. • 2026 Share Scheme: 473,178 options were granted, taking total outstanding options under the scheme to the same number, with an additional capacity of 33.49 million shares available for future grants.

Share award programmes could further issue up to 4.80 million shares, comprising 2.57 million restricted stock units under the pre-IPO plan, 0.83 million awards under the post-IPO share award scheme, and 1.40 million awards under the 2026 Share Scheme.

No warrants, convertible securities, or treasury-share movements were reported during the month.

The filing was submitted on 6 August 2026 by Company Secretary Lau Yee Wa, who confirmed compliance with all applicable listing rules and regulatory requirements.
