Netjoy Maintains Stable Share Capital in June 2026, Confirms Public-Float Compliance

Netjoy Holdings Limited (incorporated in the Cayman Islands) reported no changes to its share capital structure for the month ended 30 June 2026, according to the company’s monthly return filed with Hong Kong Exchanges and Clearing Limited on 3 July 2026.

Authorised and Registered Capital • The authorised share capital remained at 3.00 billion ordinary shares with a par value of USD 0.00005 each, equivalent to authorised capital of USD 0.15 million. No increase or reduction was recorded during the month.

Issued Share Capital and Treasury Shares • Issued shares (excluding treasury shares) stayed at 795.66 million. • The company held no treasury shares, and there were no share repurchases, cancellations or new share issuances in June.

Public-Float Status • Netjoy confirmed compliance with the Main Board’s minimum public-float requirement of 25% as at 30 June 2026.

Equity Incentive Schemes • Under the Post-IPO Share Option Scheme, outstanding options fell by 210,540 to 59.92 million after lapses. • No options were exercised and no shares were issued or transferred from treasury during the month. • The aggregate number of shares that may still be issued or transferred under existing option and award mandates stands at 79.57 million.

Other Capital Instruments • The issuer reported no warrants, convertible securities, or other agreements that would result in share issuance. • No Hong Kong Depositary Receipts are outstanding.

Governance Confirmation Executive Director and Chairman Xu Jiaqing affirmed that all corporate actions during the month were duly authorised and complied with Hong Kong Listing Rules and other regulatory requirements.
