Sandmartin International Holdings Limited (482) has scheduled a Special General Meeting (SGM) for 23 March 2026 at 3:00 p.m. The meeting will take place at Industrial Zone No. 3, No. 16 Qianjin Erlu, Xin Qian Jin Village, Tanzhou Town, Zhongshan, Guangdong Province, the People’s Republic of China.
The agenda includes a proposed capital reorganisation involving a consolidation of every 10 shares of par value HK$0.10 into 1 share of HK$1.00, followed by a reduction of the issued share capital from HK$1.00 to HK$0.10 per share. The credit arising from this reduction will be transferred to the contributed surplus account, and the company’s authorised share capital of HK$1.00 billion will be divided into 10.00 billion adjusted shares of par value HK$0.10 each.
An ordinary resolution on a 1-for-1 rights issue at a subscription price of HK$0.75 per rights share will also be considered, entailing the allotment and issue of up to 123.04 million adjusted shares.
