Shanghai Growth Calls 26 Jun AGM; Seeks Fresh Share Buy-back and Issue Mandates, Four Directors Up for Re-election

Shanghai International Shanghai Growth Investment Limited (“Shanghai Growth”) has issued a circular convening its 2026 annual general meeting (AGM) for 26 June 2026 in Hong Kong.

Key AGM Proposals 1. Share Repurchase Mandate: Board seeks authority to buy back up to 10% of issued shares (excluding treasury shares) before the next AGM. Based on the 17.63 million shares in issue as at 29 Apr 2026, the ceiling is 1.76 million shares. Management states there is currently no plan to launch a repurchase but wants flexibility should the shares trade at “a significant discount to underlying value.” A full buy-back would still leave public float at approximately 70.24%, above the 25% regulatory minimum. No shares have been repurchased in the past six months.

2. Share Issue Mandate: Board requests approval to allot and issue new shares (including disposal of any treasury shares) up to 20% of current issued share capital—equivalent to 0.37 million shares on the existing 17.63 million share base. If shareholders later approve an increase in authorised share capital to 90 million shares, the mandate could cover up to 3.53 million shares. The mandate would last until the next AGM unless earlier revoked.

3. Extension Mandate: Conditional on both mandates above passing, the share issue limit may be increased by the number of shares actually repurchased, allowing potential issuance of a further 10% of share capital.

4. Board Changes: Four directors will retire and seek re-election—Executive Director Zhao Tian; Non-executive Director Shih Mei Ling; and Independent Non-executive Directors Wong Albert Ka Wah and Lee Chan Wah. Biographical details and confirmations of independence (for INEDs) are provided.

Capital Structure and Shareholders • Issued share capital: 17.63 million shares. • Public float: 73.21%. • Largest shareholders: Ching Jason (14.70%), Shih Mei Ling (13.22%), Yuan Chufeng (10.10%), Rosebrook Opportunities Fund LP (6.90%). A full 10% buy-back would raise their holdings to 16.33%, 14.69%, 11.22% and 7.67% respectively.

Historical Share Performance (HKEX) In the 12 months to April 2026, Shanghai Growth’s shares traded between US$0.17 and US$0.49, peaking in November 2025.

Audit Matters Wilson & Partners CPA Limited is nominated for re-appointment as auditor, with an estimated FY2025 audit fee of HK$0.24–0.28 million.

Logistics Shareholders registered by 22 June 2026 are entitled to attend and vote. Proxy forms must be submitted at least 48 hours before the AGM. The company will conduct all AGM votes by poll.
