Carpenter Tan (00837) Seeks Shareholder Approval to Redomicile to Hong Kong; EGM Scheduled for 27 March 2026

Carpenter Tan Holdings Limited (Stock Code: 00837) has issued a circular outlining two key proposals to be decided at an extraordinary general meeting (EGM) on 27 March 2026 in Jiangsu, PRC.

• Proposed change of domicile  – The board recommends moving the place of incorporation from the Cayman Islands to Hong Kong under the Companies Ordinance (Cap. 622).  – Management states the redomicile will streamline compliance, reduce multi-jurisdiction costs and enhance investor confidence while preserving the company’s legal continuity.  – Upon completion, the shares will cease to carry par value and the concept of authorised share capital will be removed. Existing share certificates and the Hong Kong listing will remain valid.

• Adoption of new articles of association  – A new set of articles, drafted in line with Hong Kong company law, will replace the current Cayman memorandum and articles.  – The new articles will take effect once the Companies Registry issues a certificate of re-domiciliation.

Conditions for implementation 1. Approval of the special resolution by shareholders at the EGM. 2. Compliance with all procedural requirements in Hong Kong and the Cayman Islands. 3. Receipt of all necessary regulatory clearances, including the certificate of re-domiciliation.

EGM details and timetable • Record date: 27 March 2026 • Proxy deadline: 11:00 a.m., 25 March 2026 • Register closure: 24–27 March 2026 • Venue: Building 10, Shang Island, Jurong City, Jiangsu • Voting: All resolutions will be decided by poll.

Management emphasises that the proposals will not alter the company’s assets, operations, financial position or shareholders’ proportional interests, apart from the technical shift to no-par-value shares after redomicile.
