On October 28, CHINA UPTOWN announced that all conditions under the placement agreement had been fulfilled, and the placement was completed on October 28, 2025. A total of 75.47 million placement shares were successfully allotted by the placing agent at HK$0.180 per share to three placees: Mr. Chen Hui, Ms. Liu Xiaoling, and Mr. Li Yanyong. These shares represent approximately 16.67% of the company's enlarged issued share capital following the placement.
