POP MART grants 101,935 share awards under Post-IPO scheme to employees and service provider

Hong Kong—POP MART International Group Limited announced the grant of 101,935 share awards on 8 July 2026 under its Post-IPO Share Award Scheme.

The allocation comprises 39,957 awards to eight employee grantees and 61,978 awards to a service-provider grantee. All awards carry a purchase price of nil and correspond to an equal number of underlying shares. The closing price of POP MART shares on the grant date was HK$154.90.

Vesting terms differ by recipient group: employee awards vest in batches between the second and fourth anniversaries of the grant date, while the service-provider tranche vests in full on the first anniversary. Vesting is subject to individual performance thresholds, and clawback mechanisms apply in cases such as employment termination for cause, integrity-related criminal conviction, or breach of award-letter covenants.

The board stated that the distribution aims to recognise past contributions, align interests through equity ownership, and support long-term growth. For the service-provider grantee, the awards are intended to reinforce continued collaboration that materially benefits the Group.

Awards will be settled using existing shares held by the trustee and/or new shares issued upon vesting. After this grant, approximately 129.89 million shares remain available under the overall scheme mandate limit, with 13.55 million shares still available under the service-provider sublimit.

The company confirmed that no grantee is a director, chief executive, substantial shareholder, or associate thereof, and no individual or category limit under the Hong Kong Listing Rules has been exceeded. Consequently, shareholder approval is not required for this grant.
