Smart-Core completes HK$291.30 million share placement; public float rises to 33.84%

Smart-Core Holdings Limited has finalised the placement of 97.74 million new shares under its existing general mandate, generating net proceeds of approximately HK$291.30 million. The shares were issued at HK$3.00 each and allotted to no fewer than six independent placees on 13 July 2026, enlarging the company’s total issued share capital by 16.67% to 586.42 million shares.

Management plans to deploy around 80% of the proceeds to expand procurement and inventory of memory chips and related components, with the remaining 20% earmarked for optoelectronic components. The allocation may be adjusted in response to market conditions, but all funds will be used to support component procurement.

The timing aligns with robust sector dynamics. Deloitte projects global semiconductor sales to reach US$975 billion in 2026 as AI-driven demand accelerates, while Gartner forecasts worldwide semiconductor revenue to exceed US$1.30 trillion the same year. TrendForce data indicate memory-chip prices have increased by more than 50% during 2026. Smart-Core reported negative operating cash flow exceeding HK$300 million in FY2025, reflecting surging customer demand and the need for greater working capital.

Post-placement, controlling shareholder Smart IC Limited holds 262.50 million shares, with its stake diluted from 53.72% to 44.76%. Public shareholders now own 33.84% of the company’s enlarged share base, restoring Smart-Core’s public float above the 25% threshold required by Hong Kong listing rules.
